BARE FACE MARKETING LTD TERMS AND CONDITIONS
Terms and conditions of Bare Face Marketing Ltd (BARE FACE MARKETING LTD ) are subject to change. It is the clients' responsibility to check back from time to time to ensure they understand the content of the contract they are entering into.
BARE FACE MARKETING LTD is engaged as a provider of Marketing and Business Consultancy Services.
An initial one-hour consultation is free of charge. Any contact (phone, email, Teams or face to face meetings) after the initial consultation, charges will apply.
Payments are non-refundable / non-transferable and are for the work as described in the project brief. Quotes are valid for a period of 3 months from date of issue or as specified (special offers excluded).
A 50% non-refundable / non-transferable deposit is required upon approval of quote and before work commences. A balance payment is required when the branding has been completed according to the original brief.
Your quote will identify specific items of work. Branding work includes 3 initial concepts. Once a concept is chosen and developed, you may have up to 3 sets of amends to the chosen concept, stationery and/or literature before additional charges are incurred. Additional changes will be charged per concept, per amendment (we will advise you BEFORE new charges are incurred). Once creative material has been approved and transmitted to the client, the agreed payment becomes due and there are no exceptions to this.
CREATIVE / LITERATURE
A 50% non-refundable / non transferable deposit is required before progressing a project and final payment is required when the project is completed, subject to the initial brief.
A 50% non-refundable deposit is required upon approval of your quote to secure your website build. Final payment is required after the website copy has been completed in line with the original quote. Websites will be hosted on our secure servers during the build. Final settlement must be received in full before the website is made live.
Payment is required in full, upon approval of artwork.
MONTHLY MARKETING SUPPORT | CONSULTANCY WORK
Monthly contractual work is payable at the end of each month upon receipt of invoice. Exceptions to monthly invoicing include ad hoc project work, when invoices will be issued once the project has been completed, subject to the original brief.
Contracts for SEO and PPC are for a minimum term of 6 months. One month's notice is required by either party to terminate the contract.
WORK IN PROGRESS | UPDATES
Bare Face Marketing Ltd will provide the client with verbal and / or progress reports at regular intervals whilst engaged, unless otherwise agreed.
You will receive a detailed quote for your website build, specifically we will outline; website platform (bespoke WordPress website or BARE FACE MARKETING LTD content management system, number of pages, website functionality and an estimate for the number of hours to be spent on the project to fulfil the agreed brief). BARE FACE MARKETING LTD project management includes phone calls, development of action plans, emails, online and face to face meetings and covers all aspects of creative design, website build, copy writing and best practice business advice based on the scope of your project. Should your requirements change, you will be liable for additional hourly charges. We will advise you before new charges are incurred.
If we are working with you to develop a new website, we can provide you with a holding page whilst your new site is being developed, this will only be necessary if you do not have a current website. The charge for a holding page is non-refundable/non-transferable. The holding page will be hosted for free for up to 3 months (on our secure servers) whilst your website build is completed. Hosting charges will apply if for any reason the planned build does not go ahead, and the holding site will be removed from our servers if any amount remains unpaid.
Our bespoke, responsive WordPress websites will be built using free and paid for plugins and will be written in a Google friendly style.
Initial discovery meetings will provide the basis of any contract. This will be written in full and shared with you, for approval and signature.
Changes to the structure, additional functionality and paid-for plugins will be invoiced in addition to your original, agreed quote.
All website structure, layout and written documents are copyright to Bare Face Marketing Ltd, until such times as payment is received in full and may in no way be used or replicated by the client or any third-party associates. Any such use is a breach of this contract.
If you require pricing programming on for example an e-commerce website, you will be required to provide the details in an excel format. It is your responsibility to ensure that these files are free from error. Should we find errors we will identify those errors to you, and it is the clients’ responsibility to provide updated corrected files. It is the clients’ responsibility to check all work within 7 days, any errors identified will be addressed free of charge within this period.
Additional work or changes to the original brief may incur additional charges after this time.
If a plugin does not provide the functionality you require, we can hardcode your website and this work will be charged at an hourly rate.
Royalty free images and videos used on your website or within creative and branding are subject to additional charges and may not be specified within your original quote. Any images used in your marketing material, provided by you and used in your website or marketing materials are at the clients’ risk and it is the clients’ responsibility to ensure they are free from copyright and that the relevant permissions have been obtained.
Upon final payment of your contract and subsequent “go-live”, you will be assigned legal ownership of the website including the design and copy. Bare Face Marketing Ltd retains the right to display graphics and other web design or creative elements as examples of their work either on-line or in print. Furthermore, Bare Face Marketing Ltd may insert the words Design and Marketing by Bare Face Marketing (or similar) and associated logo onto any webpages or creative in a discreet style and location.
Web hosting services are provided by a trusted third party. BARE FACE MARKETING LTD does not guarantee that the service offered by the web-hosting service or the Internet will be uninterrupted or error-free. In no event will BARE FACE MARKETING LTD be liable to the client or any third party for any damages, including any lost profits or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if BARE FACE MARKETING LTD has been advised of the possibility of such damages.
Web hosting charges are dependent on several factors; to ensure we provide you with the service that is right for you, please request a quote. All hosting is payable annually in advance to a trusted third party.
BASIC WEBSITE HOSTING
Our hosting packages are reasonably priced and aim to give you peace of mind. Websites are hosted on monitored servers. You will be provided with a quote and a point of contact to discuss your requirements.
PREMIUM WEBSITE HOSTING
Premium Hosting provides for a 24/7 back-up and restore facility – no charges will be incurred for restoration of your website on this service (in the event of an interrupted service). All websites are hosted on monitored servers. You will be provided with a quote and a point of contact to discuss your requirements.
DOMAIN NAMES AND MANAGEMENT
Domain names are important. BARE FACE MARKETING LTD may purchase your chosen domain name on your behalf using our preferred supplier (123 Reg). Annual/Bi-annual renewal charges apply, and you will be invoiced 30 days before the domain renewal date. Provided your account with us is up to date, you may request that your domain name is transferred to your ownership at any time (using a 123-Reg account) without charge from BARE FACE MARKETING LTD , however your chosen domain hosting service may charge you. There is an admin charge of £60 + VAT to transfer ‘IN or OUT’ a domain name from another provider or to another domain hosting service.
SOCIAL MEDIA MANAGEMENT
All social media interaction with customers is managed directly by you, the client. Social media account access is to be provided by you and shared and will be shared with the Social Media Manager.
Management fees are charged monthly.. Contracts are based on a minimum of 6 months. This service is subject to availability.
SEO / DIGITAL MARKETING
Our SEO / Digital Marketing service is covered by a specific, bespoke engagement proposal/contract. After an initial discovery meeting, where we will glean an understanding of your overall business goals. We will provide you with a contract which outlines our responsibilities to you and agreed terms. We will provide you with an outline plan of the work we plan to undertake, and you will receive a monthly report (with an agreed level of detail).
Our Google Ads service is covered by a specific, bespoke engagement proposal / contract. After an initial discovery meeting, we will provide you with a contract identifying our responsibilities to you and outline our agreed terms, this will include campaign set up fees and a monthly management fee, (both of which will differ, depending on your monthly spend). Management fees are charged for monthly fixed rate terms. You have full control of your Google Ads account and you set the spending limits and always have full visibility of spend. Google Ad campaigns are paid directly to Google by you, the client.
You will receive a monthly report on progress (with agreed content). If required and where requested a one-hour update meeting over Teams is available to you, this may fall outside of your agreed contract and where necessary will be charged at £60 + VAT per hour (or if you are working on a retainer £55+ VAT). Management fees are charged for monthly fixed rate terms. Contracts are based on a minimum of 6 months.
COPYRIGHT AND TRADEMARKS
The Client guarantees that any elements i.e., text, graphics, logos and photos, designs, trademarks, or other artwork furnished to Bare Face Marketing Ltd for inclusion in web pages or creative work are either owned by the Client, or that the Client has permission from the rightful owner to use each of these elements. All content provided to the client by Bare Face Marketing Ltd remains the copyright of Bare Face Marketing Ltd until payment has been settled in full.
This contract is a purchase of unlimited usage rights to all the original creative materials developed by Bare Face Marketing Ltd, who permit the client to reproduce and re-distribute the creative as they see fit, without restriction. As the rightful owner of this creative, copyright remains with Bare Face Marketing Ltd, as per the Copyright and Design Act 1988. Once the transfer of ownership is complete, the client agrees that branding and creative may be used by BARE FACE MARKETING LTD , in any future marketing and commercial promotions without restriction.
Artwork files will be provided at our discretion, in low resolution format or with a small watermark until payment has been received in full. If you wish to print your own materials, print ready artwork files carry a charge of £60 + VAT PER FILE. Payment must be made in full before transfer of files.
We do not, and will not, share or provide clients with InDesign, Illustrator, or similar original artwork files, there are no exceptions to this.
Seven days after we cease working together we will delete all passwords and log in details. We will also delete all original artwork files from our servers.
LIMIT OF LIABILITY
The client is expected to proofread all creative and print work produced by Bare Face Marketing Ltd, before being sent to print. You will be given prior access to any work before it is uploaded to any online platform and before a job is printed. Creative artwork will be provided with a sign off sheet which must be returned or accepted in writing before work progresses. The client shall inform Bare Face Marketing Ltd by email, of their acceptance of artwork for printing, at which point it is assumed that the project design, content and creative has been completed to the clients’ satisfaction, whereupon the client becomes liable for any mistakes and printed content.
Any costs incurred by Bare Face Marketing Ltd for postage, stationery and travel expenses are to be paid in full upon provision of supporting receipts.
Travel is charged at your usual hourly rate (+VAT) plus 45p per mile. Meetings within a 5 mile radius are free from travel costs.
We charge £60 + VAT per hour or part thereof for sourcing merchandise. You will be sent a quote for an initial one-hour search / discovery time.
For items that are being ‘branded’ you will receive an artwork approval form and once approved, payment is required in full before the order has been placed.

MARKETING SUPPORT **
Marketing support is available in multiples of eight hours (one day) per month. All retainer work is paid for in arrears and contracts last for 6 months on a rolling contract with one month’s notice required by either party. Marketing support can include face to face meetings (travel time is chargeable outside of a 5-mile radius) or online meetings over Teams, Google Meet, Zoom and phone calls.
Marketing support can be for anything from development of strategic marketing plans, general and specific marketing advice, copy writing, social media queries, website development and all business and marketing related enquiries.
Minutes and action plans can be provided if requested, work resulting from all meetings, including the meeting itself is chargeable.
OUT OF HOURS COMMUNICATION
We understand that running your own business can be stressful and we all need time when we are not engaged in work. For this reason, we will endeavour to not send you emails after 6.30pm and never on weekends. We would be most appreciative if you could do the same.
Of course, there are times when this is simply not practicable, due to urgent issues arising or where we have agreed in advance to work later into the evening or at the weekend.
INVOICING & PAYMENT
Invoices will be submitted at appropriate intervals and are payable in strict accordance with payment terms outlined above or contained within your invoice. Generally, payment terms are 7 days from date of invoice unless stated or otherwise agreed.
If an amount remains overdue for a period of 30 days an additional 10% penalty will be added to the NET value for each outstanding month (or part thereof).
Any invoice outstanding after 3 months will be referred to a debt management company. All charges, including debt management company recovery fees, interest and legal fees incurred will be the responsibility of the client and will be legally enforceable. Payment is only accepted by direct bank transfer.
Please note we do not accept cheques.
