BARE FACE MARKETING LTD TERMS AND CONDITIONS
Terms and conditions of Bare Face Marketing Ltd are subject to change. It is the clients' responsibility to check back from time to time to ensure they understand the content of the contract.
Bare Face Marketing Ltd is engaged as a provider of Marketing and Business Consultancy Services.
An initial one-hour consultation is free of charge. Any contact (phone, email, Skype or face to face meetings) after the initial consultation, will be charged at £50+ VAT). Work will be charged by the hour, on a per project basis or a retained contract basis.
Payments are non-refundable/non-transferable and are for the work as described in the project brief. Quotes are valid for a period of 3 months from date of issue or as specified (special offers excluded).
A 50% non-refundable/non-transferable deposit is required upon approval of quote and before work commences. A balance payment is required after initial concepts are approved / before final creative worked up.
A 50% non-refundable deposit is required upon approval of your quote to secure your project. Final payment is required after the website copy and layout has been approved and before any further work is commenced. Final settlement must be received in full before the website is made live.
A 50% non-refundable deposit is required before progressing a project and final payment required when the project, subject to the initial brief is completed.
Payment is required in full, upon approval of artwork.
MONTHLY MARKETING SUPPORT | CONSULTANCY WORK
All work carried out by BFM is chargeable at £50 per hour + VAT.
Monthly contractual work is payable in advance upon receipt of invoice (or as agreed). Contracts are for a fixed minimum term of 6 months. One month's notice is required by either party to terminate the contract.
WORK IN PROGRESS | UPDATES
Bare Face Marketing Ltd will provide the client with verbal and / or progress reports at regular intervals whilst engaged, unless otherwise agreed.
Your quote will identify specific items of work. Branding work includes 3 initial concepts. Once a concept is chosen and developed, you may have up to 3 sets of amends to the chosen concept, stationery and/or literature before additional charges are incurred. Additional changes will be charged per concept, per amendment (we will advise you BEFORE new charges are incurred). Once creative material has been approved and transmitted to the client, the agreed payment becomes due and there are no exceptions to this.
You will receive a detailed quote for your website build, specifically we will outline; website platform (Bespoke WordPress website or BFM Content management system, number of pages, website functionality and an estimate for the number of hours to be spent on the project to fulfil the 'agreed' brief. BFM project management includes phone calls, development of action plans, emails, online and face to face meetings and covers all aspects of creative design, website build, SEO and AdWords campaign management, copy writing and best practice business advice based on the scope of your project. Should your requirements change, you will be liable for additional hourly charges. We will advise you before new charges are incurred.
If we are developing a new website, we can provide you with a holding page whilst your new site is being developed (only if you do not currently have a website). The charge for a holding page is non-refundable/non-transferable. The holding page will be hosted for free for up to 3 months (using our servers) whilst your build is being completed. Hosting charges will apply if the site does not go live within the agreed 3-month period. Full charges for hosting and design will apply if for any reason the planned build does not go ahead, and the holding site will be removed from our servers if any amount remains unpaid.
Bespoke, responsive websites, built on the WordPress platform using free and paid for plug-ins and written in a Google friendly style. Initial discovery meetings will provide the basis of any contract and you will be provided with a website layout for approval.
Significant structural changes to the website, once build has commenced will incur additional charges (you will be notified in advance of any charges).
The website structure, layout and copy-documents are Copyright to Bare Face Marketing Ltd, until such times as payment is received in full and may in no way be used or replicated by the client or any third-party associates. Any such use is a breach of this contract.
Royalty free images and videos used on your website or within creative and branding are subject to additional charges and may not be specified within your original quote. Any images used in your marketing material, provided by you and used at the clients’ risk and it is the clients’ responsibility to ensure they are free from Copyright and that the relevant permissions have been obtained.
Upon final payment of your contract and subsequent “go-live” the Client will be assigned legal ownership of the website including the design and text contained in the finished assembled website. Bare Face Marketing Ltd retains the right to display graphics and other web design or creative elements as examples of their work either on-line or in print. Furthermore, Bare Face Marketing Ltd may insert the words Design and Marketing by Bare Face Marketing (or similar) and associated logo onto any webpages or creative in a discreet style and location.
Web hosting services are provided by a trusted third party. BFM does not guarantee that the service offered by the web-hosting service (
“Web Hoster” or the Internet will be uninterrupted or error-free. In no event will BFM be liable to the Client or any third party for any damages, including any lost profits or other incidental, consequential or special damages arising out of the operation of or inability to operate these web pages or website, even if BFM has been advised of the possibility of such damages.
Web hosting charges are dependent on several factors; to ensure we provide you with the service that is right for you, please request a quote. All hosting is payable annually in advance.
BASIC WEBSITE HOSTING
Our hosting packages are reasonably priced and aim to give you peace of mind. Websites are hosted on monitored servers.
PREMIUM WEBSITE HOSTING
Premium Hosting provides for a 24/7 back-up and restore facility – no charges will be incurred for restoration of the website on this service (in the event of an interrupted service).
DOMAIN NAMES AND MANAGEMENT
Domain names are important. BFM may offer to purchase your chosen domain name on your behalf using our preferred supplier (123 Reg). Annual/Bi-annual renewal charges apply and you will be invoiced 30 days before the domain renewal date. Provided your account with us, is up to date, you may request that your domain name is transferred to your ownership at any time (using a 123-Reg account) without charge from BFM, however your chosen domain hosting service may charge you. There is an admin charge of £50 + VAT to transfer ‘IN’ a domain name from another provider or to another domain hosting service.
SOCIAL MEDIA, ADWORD AND SEO CAMPAIGNS
All social media posting services, Adwords and SEO campaigns are provided by trusted third parties.
Each campaign is covered by an individual proposal detailing objectives, goals and strategies, agreed to by you, before work commences.
Social media account access is to be provided by you and shared with the social media manager. All social media contact from potential customers is to be managed directly by you, the client. Management fees are charged monthly, in advance. Contracts are based on a minimum of 4 months.
Adwords campaigns are paid directly by you, the client. You will receive a monthly report on progress. Management fees are charged monthly, in advance. Contracts are based on a minimum of 4 months.
SEO campaign management fees are charged monthly, in advance. You will receive a monthly progress report. Contracts are based on a minimum of 4 months.
Access to your website is also provided to the SEO Manager.
COPYRIGHT AND TRADEMARKS
The Client guarantees that any elements i.e., text, graphics, logos and photos, designs, trademarks, or other artwork furnished to Bare Face Marketing Ltd for inclusion in web pages or creative work are either owned by the Client, or that the Client has permission from the rightful owner to use each of these elements. All content provided by Bare Face Marketing Ltd remains the copyright of BFM until payment has been settled in full.
This is a purchase of unlimited usage rights to all the original creative materials developed by Bare Face Marketing Ltd. BFM permit the client to reproduce and re-distribute the creative as they see fit, without restriction. As the rightful owner of this creative, copyright remains with Bare Face Marketing Ltd, as per the Copyright and Design Act 1988. Once the transfer of ownership is complete, the client agrees that branding and creative may be used by BFM, in any future marketing and commercial promotions without restriction.
Artwork files will be provided at our discretion, in low resolution format or with a small watermark until payment has been received in full. If you wish to print your own materials, print ready artwork files carry a charge of £50 + VAT PER FILE. Payment must be made in full before transfer of files.
We do not share or provide clients with InDesign, Illustrator, or similar original artwork files.
LIMIT OF LIABILITY
The client is expected to proofread all creative, print and website work produced by Bare Face Marketing Ltd, before going to print or being uploaded onto any on-line platforms. The client shall inform Bare Face Marketing Ltd by email, of their acceptance of artwork for printing or website copy before uploading at which point it is assumed that the project design and content has been completed to the clients’ satisfaction, whereupon the client becomes liable for any mistakes and printed content.
Any costs incurred by Bare Face Marketing Ltd for postage, stationery and travel expenses are to be paid in full upon provision of supporting receipts.
Travel is charged at a flat rate £40 per hour (+VAT) plus 45p per mile.
Payment is required in full, upon approval of artwork.
Adhoc requests to source items or research requests will be charged at the usual rate of £50 + VAT or part thereof and are in addition to the cost of any item or material sourced.
Available in multiples of seven hours (one day) per month. All retainer work to be booked and paid for in advance and contracts last for 6 months on a rolling contract with a one month notice required by either party. Marketing support could include face to face or online meetings for development of strategic marketing plans, general marketing advice, copy writing, social media queries, website queries and all business and marketing related enquiries. Requests for additional functionality, structural amends to your website and/or requests to amend or create new artwork outside of the original scope of work will be subject to charges. You will be advised if charges are applicable before work commences. Travel expenses may also apply.
INVOICING & PAYMENT
Invoices will be submitted at appropriate intervals and are payable in strict accordance with payment terms outlined above or on your invoice. Payment terms are 7 days from date of invoice unless stated otherwise stated.
If an amount remains overdue for a period of 30 days an additional 10% penalty will be added to the NET value for each month of lateness (or part thereof).
Any invoice outstanding after 3 months will be referred to a debt management company. All charges, including debt management company recovery fees, interest and legal fees incurred will be the responsibility of the client and will be legally enforceable. Payment is accepted by direct bank transfer.
Please note we do not accept cheques. If you issue a cheque, you will be charged a £25 administration fee.
